Terms of Service

1. Parties and scope

These Terms of Service (“Terms”) govern the provision of IT support services by JerroPc Osaühing, a limited liability company registered in Estonia under registry code 17484930 (“JerroPc”, “we”, “us”), to the client ordering the services (“Client”, “you”). The Terms apply together with any written quote, service agreement or order confirmation accepted by the Client.

2. Services we provide

JerroPc provides practical IT support services for small businesses, including but not limited to:

  • PC and laptop setup
  • Diagnostics and troubleshooting
  • Operating system installation and configuration
  • Software setup and configuration
  • Network, Wi-Fi and router setup
  • Remote technical support
  • Office computer maintenance
  • Basic security and backup setup
  • Peripheral device setup
  • Data transfer and basic data protection

The specific scope of services for each engagement is defined in the applicable written quote or service agreement.

3. What is not included

Unless explicitly agreed in writing, our services do not include: custom software development, legal or regulatory advice, recovery of data from physically damaged media, provision of hardware, third-party software licensing costs, or support for industries and use cases outside the scope of a standard small business IT environment.

4. Ordering and acceptance

Engagements start with a written quote describing the scope, price and estimated timeline. The Client's written confirmation (including by email) of the quote constitutes acceptance of these Terms and the associated engagement.

5. Fees, invoicing and payment

  • Services are billed based on the scope agreed with the Client and confirmed in writing before work begins.
  • JerroPc issues standard B2B invoices, with VAT applied in accordance with Estonian and EU legislation where relevant.
  • Payment terms are 14 days from the date of invoice, unless a different term is agreed in writing.
  • Payments are made by EU bank transfer (SEPA) to the bank account stated on the invoice. Cash and anonymous payment methods are not accepted.
  • Late payments may incur statutory default interest as set out under Estonian law.

6. Client responsibilities

The Client agrees to:

  • Provide accurate contact and company information for invoicing and service delivery;
  • Provide timely access to devices, accounts and information required to perform the service;
  • Maintain valid licenses for any third-party software used within their environment;
  • Maintain backups of critical data, in addition to backups provided as part of our services;
  • Use remote support tools only in line with instructions provided by JerroPc.

7. Service levels and availability

Standard support is available Monday to Friday, 09:00–18:00 EET, excluding Estonian public holidays. Response times and availability commitments for ongoing clients are defined in the applicable service agreement. We use reasonable professional care to meet these response times but do not guarantee uninterrupted availability of third-party systems and networks that we do not operate.

8. Confidentiality

Each party agrees to treat as confidential any non-public information received from the other party in the course of the engagement, and to use it solely for the purpose of providing or receiving the services. This obligation survives the termination of the engagement.

9. Data protection

Personal data is processed in accordance with our Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation (GDPR). Where JerroPc processes personal data on behalf of the Client, a separate Data Processing Agreement is available on request.

10. Limitation of liability

To the maximum extent permitted by applicable law, JerroPc's aggregate liability arising out of or in connection with any engagement is limited to the fees paid by the Client for the services in the three (3) months preceding the event giving rise to the claim. JerroPc is not liable for indirect, incidental or consequential damages, including loss of profits, loss of data or business interruption. Nothing in these Terms limits liability that cannot be limited under mandatory law.

11. Cancellation and termination

  • Engagements may be cancelled by the Client before work has started at no cost. Once work has started, hours already worked are invoiced.
  • Either party may terminate the engagement immediately for material breach that is not cured within 14 days of written notice.
  • Any prepaid amounts for services not yet delivered are refunded following termination that is not due to the Client's breach.

12. Intellectual property

The Client retains ownership of their data and systems. Any configurations, scripts or documentation created specifically for the Client in the course of a paid engagement are licensed to the Client for internal business use. JerroPc retains ownership of its generic tools, templates and know-how.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Estonia. Disputes arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the competent courts of Estonia, unless mandatory consumer or cross-border rules require otherwise.
